Terms of Service
Last updated: [PLACEHOLDER: date]
Version: [PLACEHOLDER: 1.0]
These Terms of Service are published in two parts. This page has the summary and sections 1 to 12. Sections 13 to 25 are in part 2.
Summary
This summary is here to help. The full terms below are what apply.
What Scope is. An AI-native workspace for creative work and the business behind it: meetings, media sharing and feedback, projects, client portals, proposals, contracts, invoicing and AI features.
Trial and price. New workspaces get a 7-day free trial. A card is required. Unless you cancel before the trial ends, your subscription starts and we charge A$29 per month [PLACEHOLDER: per workspace], renewing monthly until you cancel.
Cancel any time in [PLACEHOLDER: Settings > Billing]. You keep access until the end of the period you have paid for. We do not refund partial months, except where the law requires it or as set out in our Refunds and cancellation policy.
Your content is yours. You give us permission to use it only to run Scope for you.
AI output can be wrong. Review it before you rely on it. Scope AI applies changes to your work only after you approve them, and change orders are drafts you send yourself.
You are responsible for recordings. The Mac app adds no bot to calls, so you must tell people you are recording and get consent where the law requires it.
Client payments are between you and your client and are processed by Stripe through your own connected account.
Your consumer rights are not affected where the law says they cannot be excluded.
1. About these terms
1.1 These terms are an agreement between you and [PLACEHOLDER: company legal name], ABN [PLACEHOLDER], of [PLACEHOLDER: address] ("Scope", "we", "us"). If you use Scope for a business, "you" means you and that business, and you confirm you have authority to bind it.
1.2 By creating an account, starting a trial or using Scope, you agree to these terms, our Acceptable Use Policy, our Refunds and cancellation policy and, where it applies, our [PLACEHOLDER: Data Processing Addendum]. Our Privacy Policy explains how we handle personal information.
1.3 Scope is designed for business use by people aged 18 or over. [Lawyer: decide whether to accept consumers; if so, keep the consumer provisions in sections 5, 6 and 18.]
2. Definitions
Scope or the service: the Scope website, web workspace, Mac app and related services.
Workspace: your account space in Scope, including its settings and content.
Team members: people you invite to your workspace.
Clients: people you invite to view or act in a portal, share link, proposal, contract or invoice.
Your content: anything you, your team members or your clients put into Scope, including files, images, video, recordings, transcripts, messages, comments, proposals, contracts and invoices, and AI output generated for you.
AI features: features that use artificial intelligence, including Scope AI, transcription, summaries, suggestions and drafts.
3. Accounts, workspaces and people you invite
3.1 You must give accurate information, keep your login details secure, and tell us promptly if you think your account has been accessed without permission.
3.2 You are responsible for activity in your workspace, including by team members you invite. You control who has access and what clients can see.
3.3 Clients do not need a Scope account to use a portal, share link, proposal, contract or invoice. You are responsible for inviting the right people and for what you share with them.
3.4 [PLACEHOLDER: number of team members included in the plan, and how additional members are billed.]
4. Free trial, subscription and prices
4.1 Trial. A new workspace gets a 7-day free trial of the full plan [CONFIRM: same allowances as paid]. You must add a payment card to start the trial. One trial per person or business.
4.2 When the trial ends. Unless you cancel before the trial ends, your paid subscription starts automatically at the end of the trial and we charge your card A$29 per month [PLACEHOLDER: per workspace], in advance. [PLACEHOLDER: "We will email you [2] days before your trial ends to remind you." Include once the reminder is built. From 1 July 2027 in Australia and January 2027 in the UK, reminders before a free trial converts are expected to be a legal requirement for consumer subscriptions; lawyer to confirm application to Scope.]
4.3 Renewal. Your subscription renews monthly on the same date until you cancel. We will charge your card on each renewal date.
4.4 Prices and tax. Prices are in Australian dollars. [PLACEHOLDER: "Prices include GST for Australian customers" or "Taxes may be added depending on your location".] Your card provider may charge currency conversion fees.
4.5 Allowances. Your plan includes [PLACEHOLDER: recording and transcription hours, AI usage, storage, team members]. If you reach an allowance, [PLACEHOLDER: what happens, for example features pause until the next period, or you can buy more]. We never describe the plan as unlimited.
4.6 Price changes. We may change prices by giving you at least [PLACEHOLDER: 30] days' notice by email. The new price applies from your next billing period after the notice period. If you do not agree, you can cancel before it applies.
4.7 Failed payments. If a payment fails, we will tell you and retry for [PLACEHOLDER: e.g. 7] days. If it still fails, we may suspend paid features until payment is made. We will not delete your content because of a failed payment without further notice (section 20).
4.8 Invited beta workspaces. If we invite you to use Scope on beta access, the terms of that access (including any free period and what happens when it ends) will be given to you in writing and apply alongside these terms.
5. Cancelling
5.1 You can cancel at any time in [PLACEHOLDER: Settings > Billing], without needing to contact us. [Lawyer: the Australian subscription rules from 1 July 2027 require an easy way to cancel, including online where the subscription was entered into online.]
5.2 If you cancel during the trial, you will not be charged.
5.3 If you cancel after the trial, your subscription stays active until the end of the current billing period and is not renewed. We will confirm the cancellation by email.
5.4 After your subscription ends, you will have [PLACEHOLDER: 30] days to export your content (section 20).
6. Refunds
6.1 Fees are not refundable for partial months or unused time, except as set out in our Refunds and cancellation policy or where the law requires a refund.
6.2 If we charge you in error, we will refund the incorrect amount.
6.3 If we end your subscription for a reason other than your breach of these terms, we will refund fees you have paid for the period after it ends.
6.4 If you are a consumer in the UK, you may have a right to cancel within 14 days and, from January 2027, additional cooling-off rights after a free trial converts to a paid subscription. See our Refunds and cancellation policy. [Lawyer to confirm.]
7. Client payments through Stripe
7.1 Scope lets you send invoices and payment links and take card payments from your clients through your own Stripe account connected to Scope. Client payments are currently available only to businesses in Australia, the United Kingdom and New Zealand, by card. [CONFIRM: live]
7.2 To use client payments, you must agree to Stripe's terms, including the Stripe Connected Account Agreement and the Stripe Services Agreement. Stripe, not Scope, processes the payments and holds the funds. You authorise us to share information about you and your transactions with Stripe, and to receive information from Stripe, to provide this feature.
7.3 We are not a party to the agreement between you and your client. You are responsible for your prices, invoices, tax, receipts, refunds to your clients, disputes and chargebacks, and for complying with the laws that apply to your sales.
7.4 Stripe charges its own processing fees. [PLACEHOLDER: "Scope does not charge a fee on client payments" or the fee and how it is shown.]
7.5 We may suspend client payment features if Stripe requires it, if we reasonably suspect fraud or a breach of Stripe's terms, or to comply with the law.
8. Your content
8.1 You keep ownership. As between you and us, you and your clients keep all rights in your content.
8.2 Our permission to use it. You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display and adapt your content only as needed to provide, secure and support Scope for you and the people you share with, to run the AI features you use, and as described in our Privacy Policy. This licence ends when your content is deleted from Scope, except for copies kept for a limited time in backups or where the law requires us to keep them. [Lawyer to confirm. If any product-improvement use is chosen, state it narrowly here and in Privacy.]
8.3 Your responsibilities. You confirm that you have the rights, permissions and consents needed to upload your content and to let us process it, including personal information about your clients, team members and meeting participants, and work owned by your clients or others.
8.4 Personal information about others. Where your content includes personal information, you are responsible for collecting it lawfully, telling people how it will be used, and responding to their requests. We process it on your behalf under our Privacy Policy and [PLACEHOLDER: DPA].
8.5 No monitoring duty. We do not review your content as a routine, but we may access it where you ask us to (for example for support), to keep Scope secure, to investigate a breach of these terms, or where the law requires.
8.6 [v3 addition, 7 Oct 2026] Reference material, moodboards and third-party images. Moodboards, the media library and similar features let you collect reference images and other material, including material made by other people. Adding something to Scope does not give you, us or your clients any rights in it. You are responsible for having the rights or permissions you need to copy, store, share or adapt reference material, and for not presenting someone else's work as your own (for example in a portfolio piece or a client deliverable). If Scope AI extracts colours, styles or other elements from reference images, that does not clear the rights in the original. [LAWYER TO CONFIRM: wording on copyright in reference images and moodboards for AU (Copyright Act 1968), UK (CDPA 1988) and NZ (Copyright Act 1994), and whether a fair dealing note is appropriate] [CONFIRM: moodboards and media library live at launch]
9. Our intellectual property and feedback
9.1 We own Scope, including its software, design, templates we provide and our brand. We give you a limited, non-exclusive, non-transferable right to use Scope for your business while your subscription is active, in line with these terms.
9.2 You must not copy, modify, reverse engineer or resell Scope except as the law permits.
9.3 If you send us feedback or suggestions, we may use them without obligation to you.
10. Scope AI and other AI features
10.1 AI features appear throughout Scope. They may produce transcripts, summaries, decisions, action items, follow-up drafts, scope suggestions, change-order drafts, proposals, client updates and answers to your questions.
10.2 AI output can be incomplete or wrong. You must review AI output before relying on it, sending it to anyone or using it in an agreement. AI output is not legal, tax, financial or other professional advice.
10.3 Your approval. Suggestions that change your work, such as creating tasks or editing a document, are applied only after you approve them. [CONFIRM: list] Change orders are prepared as drafts and are not sent, signed or paid automatically.
10.4 Ownership of output. As between you and us, we assign to you any rights we have in AI output generated for you. Similar output may be generated for other users.
10.5 Providers and training. AI features are provided using our AI service providers listed on our subprocessors page. [PLACEHOLDER: training position, identical to Privacy Policy section 5.3, only once confirmed.]
10.6 You must not use AI features to create unlawful, deceptive or infringing content, or in breach of our Acceptable Use Policy.
10.7 [v3 addition, 7 Oct 2026] AI across your workspace. Scope AI is built across the workspace, so to answer a request it may use content from different parts of your workspace, such as clients, briefs, meetings and transcripts, files, projects, proposals and agreements. [CONFIRM: exact content types at launch] It uses content only from your own workspace, not from other customers' workspaces. [CONFIRM: whether team members' AI answers are limited to content they have permission to see] Because AI answers may combine information from several sources, check them before you share them with a client or a team member. [LAWYER TO CONFIRM]
11. Recording calls and meetings
11.1 The Scope Mac app records your microphone and your Mac's system audio, or the room for in-person meetings. It does not add a bot to the meeting and does not notify participants for you.
11.2 Before recording any call or meeting, you must tell every participant that you are recording, and obtain any consent required by the laws that apply to you and to them. Laws differ by country and, in Australia, by state and territory. If a participant does not agree where consent is required, do not record.
11.3 You are responsible for how you store, use and share recordings and transcripts.
11.4 The Mac app requires macOS 14.2 or later on Apple silicon or Intel Macs. There is no Windows recorder.
12. Client portals, share links and portfolio pages
12.1 Portals show your clients the project sections you choose. Clients do not need an account.
12.2 Anyone who has a share link can view what it shares until you revoke it. Portfolio pages you publish are public until you unpublish them.
12.3 You are responsible for what you share and publish, including having your clients' permission before showing their work publicly.
12.4 Each project has one shared conversation with your client. It does not replace or sync with your email.
12.5 [v3 addition, 7 Oct 2026] Public portfolio pages. Portfolio pages are published at a public address based on your handle, so anyone can view them, and search engines may index and cache them, until you unpublish them. Search engines may take time to remove cached copies after you unpublish. Only publish work you have the right to show, including any permission your client agreement requires, and do not publish personal information about other people (including identifiable people in images) without a lawful basis. We may reclaim or change a handle that impersonates another person or business, infringes a trade mark, or is misleading. [LAWYER TO CONFIRM] [CONFIRM: portfolio live at launch]
These terms continue in part 2, which covers sections 13 to 25 (electronic signatures, third-party services, beta features, availability, confidentiality, consumer law and liability, termination, data export, changes, notices, governing law, general terms and contact). Read part 2 of the Terms of Service.
